Terms of Service
Last updated: August 23, 2026
These Terms of Service ("Terms") govern access to and use of Zeckout (the "Service"), operated by the Zeckout team ("Zeckout," "we," "us," or "our"). By creating an account, accessing, or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Zeckout provides software to help organizations track, check out, reserve, and manage physical equipment, gear, and spaces. Zeckout is a record-keeping and workflow tool only. Zeckout does not take physical custody of, insure, or guarantee the condition, location, or return of any item tracked in the Service.
2. No Responsibility for Lost, Stolen, Damaged, or Unreturned Inventory
Zeckout is not responsible or liable, under any circumstances, for equipment, gear, or other inventory that is lost, stolen, damaged, destroyed, misplaced, not returned, or otherwise unaccounted for, regardless of cause. This includes, without limitation, loss or damage arising from: staff or user error, failure to scan or log an item, incorrect status data, a bug, outage, or downtime in the Service, a third-party integration failure, force majeure, theft, negligence of any user, or any other reason whatsoever. The Service only reflects the data that Customer and its users enter and maintain; Zeckout has no independent means of verifying the physical location or condition of any item and disclaims all responsibility for physical inventory outcomes.
Customer is solely responsible for: (a) maintaining accurate inventory records, (b) enforcing its own checkout, return, and accountability policies, (c) pursuing recovery, replacement, or disciplinary action for lost or unreturned items, and (d) carrying any insurance Customer deems appropriate for its physical inventory. Zeckout strongly recommends Customer maintain independent insurance coverage for equipment of meaningful value.
3. Accounts and Eligibility
You must provide accurate registration information and are responsible for all activity that occurs under your account and department. You are responsible for maintaining the confidentiality of your login credentials. Notify us promptly of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation;
- Attempt to gain unauthorized access to another organization's or department's data;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
- Upload malicious code or content that infringes the rights of any third party.
5. Subscriptions, Fees, and Payment
Paid plans are billed in advance on a recurring basis (monthly, unless otherwise agreed) via our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for all applicable fees. Fees are exclusive of taxes unless stated otherwise. Except as described in our Refund Policy, all fees are non-refundable. We may change our pricing on a going-forward basis with reasonable notice.
Failure to pay may result in suspension or downgrade of your account after a grace period as described in-app. You may cancel at any time; cancellation takes effect at the end of the current billing period unless otherwise stated.
6. Customer Data and Content
Customer retains ownership of the inventory, user, and operational data it submits to the Service ("Customer Data"). You grant Zeckout a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are solely responsible for the accuracy, quality, and legality of Customer Data and for having all rights necessary to submit it.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA — INCLUDING INVENTORY STATUS, AVAILABILITY, OR DUE DATES — WILL BE ACCURATE OR COMPLETE AT ALL TIMES.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZECKOUT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PHYSICAL PROPERTY — INCLUDING WITHOUT LIMITATION ANY LOST, STOLEN, DAMAGED, OR UNRETURNED EQUIPMENT OR INVENTORY — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ZECKOUT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU PAID ZECKOUT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to indemnify and hold Zeckout harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or any claim related to lost, stolen, damaged, or unreturned inventory tracked through your account.
10. Termination
We may suspend or terminate access to the Service for breach of these Terms, non-payment, or conduct that we reasonably believe harms the Service or other users. You may terminate your account at any time from within the app.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the United States and the state in which Zeckout is organized, without regard to conflict-of-law principles.
